Please read these Terms of Service ("Terms") carefully before using the Logity mobile application, web application at logity.app, and related services (collectively, the "Service") operated by Jonathan Good Digital Marketing, doing business as Logity ("Logity," "us," "we," or "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

You must be at least 16 years old to use the Service. By using the Service, you represent that you are at least 16 years of age.

2. Description of Service

Logity is a time tracking, invoicing, and team management application designed for freelancers, creative professionals, and small agencies. The Service is available as:

  • An iOS mobile application (distributed via the Apple App Store)
  • A web application (accessible at logity.app)

Features may vary between platforms as we continue development.

3. User Accounts

a) Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

b) Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately if you become aware of any unauthorized use of your account.

c) One Account Per User

Each user should maintain one account. Creating multiple accounts to circumvent Service limitations is prohibited.

4. Service Tiers and Subscriptions

a) Free Tier

The free tier provides basic time tracking functionality with the following limitations:

  • Up to 5 active clients
  • 90 days of accessible time entry history
  • CSV data export
  • Basic reporting

b) Pro Subscription

The Pro subscription ($9.99/month or $89/year, prices subject to change) provides full access to features including but not limited to:

  • Unlimited clients and history
  • Professional invoicing with PDF generation
  • Stripe payment integration for client payments
  • Advanced reporting and analytics
  • Custom branding on invoices
  • Priority support
  • Team creation (includes 2 team seats)

c) Teams

Pro subscribers can create teams. Additional team seats are available at $3.99/month per seat. Team members can use the free tier of Logity to track time for your team without requiring their own Pro subscription.

d) Free Trials

We may offer free trial periods for the Pro subscription. Unless you cancel before the trial expires, your subscription will automatically convert to a paid subscription at the then-current rate.

5. Billing and Payments

a) iOS App Purchases

Subscriptions purchased through the iOS app are billed through Apple. Payment processing, billing, and refunds for iOS in-app purchases are governed by Apple's terms and policies. You can manage your subscription and cancel through your Apple ID account settings.

b) Web App Purchases

Subscriptions purchased through the web app are billed through Stripe. Your payment method will be charged at the beginning of each billing period (monthly or annual). You can manage your subscription and cancel through your account settings at logity.app.

c) Auto-Renewal

All subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate upon renewal.

d) Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until the end of your paid period. After cancellation, your account will revert to the free tier.

e) Price Changes

We may change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of the next billing period following the notice. If you do not agree with a price change, you may cancel before it takes effect.

6. Refund Policy

a) iOS Purchases

Refunds for subscriptions purchased through the Apple App Store are handled by Apple pursuant to their refund policies. Please contact Apple Support for iOS refund requests.

b) Web Purchases

For subscriptions purchased through the web app:

  • If you request a refund within 14 days of your initial purchase or an annual renewal, and your usage data indicates minimal use of the Service during that period, we will issue a full refund.
  • Monthly subscriptions that have been active for more than 14 days are generally not eligible for refunds, though we may make exceptions on a case-by-case basis.
  • To request a refund, contact us.

c) Involuntary Renewals

If your subscription auto-renews and you did not intend to continue, contact us within 14 days of renewal for a full refund.

7. Teams and Multi-User Features

a) Team Owners

As a team owner (Pro subscriber), you are responsible for:

  • Managing team membership and permissions
  • Ensuring team members comply with these Terms
  • Paying for additional team seats
  • Data shared within your team

b) Team Members

As a team member, you acknowledge that:

  • Your team owner can view time entries, projects, and other data you log for the team
  • Your team owner controls team membership and may remove you at any time
  • Leaving a team does not delete data you contributed while a member
  • You retain ownership of your personal (non-team) data

c) Team Data

Team data is accessible to team members according to their assigned roles and permissions. The team owner has administrative control over all team data. We are not responsible for how team owners manage or share team data.

8. User Content and Data Ownership

a) Your Data

You retain full ownership of all data and content you create using the Service, including time entries, client information, invoices, and business data.

b) License to Us

By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing and improving the Service. This license terminates when you delete your account.

c) Data Export

You can export your data at any time using the export features available in the Service.

d) Data Accuracy

You are responsible for the accuracy of data you enter. Logity provides tools for tracking and invoicing but does not verify the accuracy of your time entries, rates, or invoice amounts. We are not responsible for disputes between you and your clients arising from data entered into the Service.

9. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property or privacy rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service for fraudulent invoicing or deceptive billing practices
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated tools (bots, scrapers) to access the Service without our written permission
  • Resell or redistribute the Service without our written consent
  • Circumvent any usage limitations of the free tier

10. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by Jonathan Good Digital Marketing and is protected by copyright, trademark, and other intellectual property laws. "Logity" and the Logity logo are trademarks of Jonathan Good Digital Marketing.

Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

11. Third-Party Services

The Service integrates with third-party services including but not limited to Stripe for payment processing and Apple for app distribution. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of third-party services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JONATHAN GOOD DIGITAL MARKETING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Jonathan Good Digital Marketing and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Dispute Resolution

a) Informal Resolution

Before filing any formal legal action, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.

b) Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

c) Jurisdiction

Any disputes not resolved informally shall be resolved exclusively in the state or federal courts located in San Mateo County, California. You consent to the personal jurisdiction of these courts.

d) Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. Termination

a) By You

You may stop using the Service and delete your account at any time through your account settings.

b) By Us

We may suspend or terminate your account and access to the Service at our sole discretion if you violate these Terms, engage in fraudulent or abusive behavior, or if required by law. We will make reasonable efforts to notify you before termination except in cases of fraud or legal requirement.

c) Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

17. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use of the Service.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last Updated" date and, for significant changes, by sending an email to the address associated with your account. Your continued use of the Service after changes are posted constitutes acceptance.

19. General Provisions

a) Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Logity regarding the Service.

b) Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

c) Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

d) Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

e) Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control.

20. Referral Program

The Logity Referral Program ("Program") allows users to earn free months of Logity Pro by referring new users.

a) How It Works

Each user receives a unique referral link. When a new user signs up through your referral link and subscribes to the Yearly Pro plan, both you and the new user receive one (1) month of Logity Pro at no charge.

b) Eligibility

You must have an active Logity account to participate. The referred user must be a new Logity user who has not previously created an account.

c) Earning Credits

Credits are earned when the referred user subscribes to the Yearly Pro plan ($99/year). Credits are not earned for Free tier signups or Monthly Pro subscriptions. There is no limit to the number of referral credits you can earn.

d) Credit Application

Credits are applied as account credits toward your next billing period. Credits are not transferable, not redeemable for cash, and have no monetary value outside of the Service.

e) Prohibited Conduct

The following are prohibited:

  • Self-referral (referring your own accounts)
  • Creating fake accounts to earn credits
  • Using referral links in spam or misleading advertising
  • Any other activity Logity deems fraudulent or abusive

f) Modification and Termination

Logity reserves the right to modify, suspend, or terminate the Program at any time. Logity may revoke credits earned through prohibited conduct. Earned credits that have already been applied will not be revoked except in cases of fraud.
